1. Acceptance of Terms

By registering and using the BIO-RED Open Innovation Platform, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the platform.

2. Platform Purpose

BIO-RED is an open innovation platform designed to facilitate connections, partnerships, and collaboration opportunities within the biomedical and life sciences ecosystem in the context of the BIO-RED consortium project.

3. User Responsibilities

  • Provide accurate and truthful information during registration
  • Maintain the confidentiality of your account credentials
  • Use the platform for legitimate business and research purposes only
  • Respect other users and maintain professional conduct
  • Not misuse the messaging system for spam, inappropriate content or content non-related with the Platform Purposes
  • Comply with applicable laws and regulations

4. Platform Responsibilities and Service Commitments

The BIO-RED Platform Operator commits to maintaining appropriate technical and organisational measures to ensure platform security, data integrity and service continuity. The operator will implement safeguards including access control, encryption, system monitoring and incident response procedures consistent with the BIO-RED Data and Ethics Management Plan.

5. Account Approval

All registrations are subject to admin approval. The BIO-RED team reserves the right to reject registrations or revoke platform access. Where access is to be revoked other than for a violation of these Terms or applicable law, the BIO-RED team shall provide the affected user with at least 30 days' prior written notice, including a statement of the reasons for the decision. Users may appeal revocation decisions by contacting the BIO-RED platform administration within 15 days of receiving notice; appeals will be reviewed and a determination communicated within 30 days.

Access may be suspended or terminated where users violate Terms or applicable laws. Users may request review of termination decisions through the BIO-RED platform administration.

6. Intellectual Property

Content that the users share on the platform remains their property. By sharing it, they grant BIO-RED a non-exclusive license to display it to other platform users in accordance with your visibility settings.

By submitting content to the Platform, users grant the BIO-RED consortium a non-exclusive license to store, index, process, display and analyse the content for the purposes of operating the platform, facilitating collaboration and fulfilling reporting obligations to the European Commission.

7. Limitation of Liability

The platform is provided "as is" and, to the maximum extent permitted by applicable law, without warranty of any kind, whether express or implied. BIO-RED shall not be liable for indirect, incidental or consequential damage arising from the use of the platform, including lost business opportunities, data loss or misconduct from other platform users. Nothing in this clause excludes or limits BIO-RED's liability for damages caused by gross negligence, willful misconduct or fraud committed by BIO-RED Platform Admin, or any other liability that cannot be excluded or limited under applicable Portuguese or EU law. Users acknowledge that the platform is in an evolving phase of development and is made available on a controlled-access basis to approved users only, and that features, functionality and documentation may be updated, supplemented or refined over time as the project progresses and as the consortium's compliance framework is finalised. If any provision of this clause is held to be invalid, unlawful or unenforceable under applicable Portuguese or EU law, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed replaced by a valid and enforceable provision that most closely reflects the original intent of the parties to the maximum extent permitted by law.

8. Governing Law

These Terms are governed by European Union law and the laws of Portugal. Disputes shall be subject to the jurisdiction of Portuguese courts.

9. EU Funding Transparency

The platform operates within the EU-funded BIO-RED project and may collect anonymised usage statistics for project evaluation and reporting.

10. Amendments to Terms

BIO-RED reserves the right to amend these Terms & Conditions at any time. Users will be notified of material changes at least 30 days in advance by email and by a prominent notice on the platform. Continued use of the platform after the effective date of the amended Terms constitutes acceptance. Where required by applicable law, users will be asked to re-accept the updated Terms before continued access is granted. All versions of these Terms will be archived and accessible through the platform.

11. EU Funding Obligations

The BIO-RED platform is developed and operated within the framework of an EU-funded project. The consortium may be required to collect and report anonymised or aggregated usage data to the European Commission or designated project evaluators in fulfilment of its grant obligations. Such reporting will not include personal data unless a lawful basis under GDPR applies and users have been informed.

12. Dispute Resolution

Before initiating court proceedings under Section 8, the parties shall attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation. If the dispute is not resolved within 30 days of written notice, either party may refer it to mediation administered by a mutually agreed mediator or, failing agreement, a mediator appointed in accordance with Portuguese law. Court proceedings may only be commenced after mediation has been attempted or 60 days have elapsed since the mediation referral, whichever is earlier.
